These Terms & Conditions of Sale govern every quotation, order acknowledgment, and sale of products by Micro-Ray Electronics, Inc. (“Micro-Ray”), 212 Midstreams Place, Brick, New Jersey 08724. Placing an order with Micro-Ray means you accept these terms. They apply in place of any conflicting or additional terms on a buyer’s purchase order or other document, unless Micro-Ray agrees to those terms in writing.
All manufacturer names, brand names, trade names, logos, model numbers and part numbers appearing on this site — including but not limited to AMP, TE Connectivity, Molex, JST, Phoenix Contact and Hirose — are the property of their respective owners. Micro-Ray Electronics, Inc. is not affiliated with, authorized by, sponsored by or endorsed by any of these companies, except where Micro-Ray Electronics is expressly identified on this site as an authorized distributor or brand partner.
Manufacturer part numbers are used solely to identify the original part for which a Micro-Ray part is offered as a second-source equivalent. This is nominative use for the purpose of accurate comparison, and no claim of ownership is made to any third-party trademark. Micro-Ray does not sell any product under another manufacturer’s brand, and does not represent its products as being that manufacturer’s products.
Micro-Ray parts identified as equivalents are offered as second-source alternatives, matched for fit, form and function to the referenced part. They are Micro-Ray’s own products, made to Micro-Ray’s specifications, and are intended to give buyers a qualified alternate source of supply.
A cross-reference is a starting point for comparison, not a guarantee of interchangeability in a particular application. Differences in materials, plating, tolerances, temperature range, current and voltage ratings, agency approvals, and mating behavior with third-party components can exist between a Micro-Ray part and the referenced part.
The buyer is responsible for evaluating and qualifying any Micro-Ray part in its intended application before use, including any required testing, approvals, and verification of mating compatibility. Micro-Ray will supply samples for qualification on request. Nothing on this site is a recommendation to substitute a part without that evaluation.
Drawings, dimensions, ratings, materials and specifications published on this site or supplied with a quotation are provided for reference and are subject to change without notice. Dimensions are nominal unless a tolerance is stated. Micro-Ray works to keep published data accurate but does not warrant that it is free from error, and reserves the right to improve or modify products and their specifications. Where a published datasheet and the drawing supplied with an order acknowledgment disagree, the drawing supplied with the order acknowledgment governs.
Drawings and technical documents made available by Micro-Ray remain Micro-Ray’s property and are provided for the buyer’s evaluation and use of Micro-Ray products.
Prices are in U.S. dollars and exclude shipping, insurance, duties and taxes. Quotations are valid for 30 days from issue unless stated otherwise, and remain subject to Micro-Ray’s confirmation at the time an order is placed.
Availability shown on this site is an estimate, not a commitment to stock. Lead times are confirmed on the quotation or order acknowledgment. Micro-Ray is not liable for delay in delivery caused by suppliers, carriers, or any event beyond its reasonable control.
Micro-Ray warrants to the original buyer that its products will be free from defects in material and workmanship and will conform to Micro-Ray’s published specification for that part for one (1) year from the date of shipment.
The buyer’s exclusive remedy, and Micro-Ray’s entire obligation under this warranty, is repair, replacement, or credit of the purchase price, at Micro-Ray’s option, for product returned to Micro-Ray with a return authorization and found by Micro-Ray to be defective. This warranty does not cover damage from misuse, improper installation or handling, unauthorized modification, normal wear, or use outside the product’s published ratings.
EXCEPT AS EXPRESSLY STATED IN THIS SECTION, MICRO-RAY MAKES NO OTHER WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, AND SPECIFICALLY DISCLAIMS THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. NO WARRANTY IS MADE THAT ANY MICRO-RAY PART IS INTERCHANGEABLE WITH, OR WILL PERFORM IDENTICALLY TO, ANY OTHER MANUFACTURER’S PART.
IN NO EVENT WILL MICRO-RAY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST PRODUCTION, DOWNTIME, LOSS OF DATA, OR THE COST OF REMOVAL, REWORK OR REINSTALLATION, WHETHER THE CLAIM ARISES IN CONTRACT, WARRANTY, TORT, STRICT LIABILITY OR OTHERWISE, AND EVEN IF MICRO-RAY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
MICRO-RAY’S TOTAL LIABILITY ON ANY CLAIM ARISING OUT OF OR RELATING TO A PRODUCT OR ITS SALE WILL NOT EXCEED THE PURCHASE PRICE PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.
Micro-Ray products are designed for general industrial, commercial and electronic equipment use. They are not designed or authorized for use in life-support systems, medical implants, aircraft or spacecraft, nuclear facilities, weapons systems, or any other application in which failure of the product could reasonably be expected to cause death, personal injury, or severe property or environmental damage, unless Micro-Ray has agreed to that use in writing.
A buyer that uses a Micro-Ray product in such an application does so at its own risk and agrees to indemnify and hold Micro-Ray harmless against any claim arising from that use.
Statements of RoHS, REACH or other regulatory conformity are based on information supplied to Micro-Ray by its manufacturers and suppliers and are given in good faith. Micro-Ray will pass through supplier declarations on request. The buyer is responsible for determining whether a product meets the regulatory requirements of the buyer’s own application and market.
Micro-Ray currently ships within the United States, U.S. Territories, and APO/FPO/DPO addresses. A buyer that exports or re-exports any product is responsible for complying with all applicable U.S. export control laws and regulations.
Orders are accepted on issue of a Micro-Ray order acknowledgment. Returns are handled under the Return & Refund Policy and require a return authorization. Custom, built-to-order, and non-stock special-order items cannot be cancelled after production begins and are not returnable. Shipping is governed by the Shipping Policy.
The content of this site, including text, drawings, photographs and the Micro-Ray name and logo, is the property of Micro-Ray Electronics, Inc. and is provided for informational purposes. Product information may contain typographical errors or omissions, and Micro-Ray reserves the right to correct them and to change or discontinue products at any time.
These terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts serving Ocean County, New Jersey.
These terms, together with Micro-Ray’s quotation and order acknowledgment, are the entire agreement between the parties for the sale of the products and supersede any prior understanding. If any provision is held unenforceable, the remaining provisions stay in effect. Micro-Ray’s failure to enforce any provision is not a waiver of it.
